# Store IT support services

## 1. Services {#c-services}

T.S. provides these services to M.R.: help desk support for store staff, upkeep of store computers and network equipment, and monthly security updates for M.R.'s three stores.

## 2. Deliverables {#c-deliverables}

T.S. delivers each item below by its due date.

- 2027-01-29: inventory of the store computers and network equipment T.S. looks after

## 3. Standard of work {#c-standard}

T.S. does the work with reasonable skill and care and sends M.R. a short report on open and closed requests at the end of each month.

## 4. Client duties {#c-client-duties}

M.R. gives T.S. the information, access and decisions the services need, in good time.

## 5. Fees and payment {#c-fees}

M.R. pays T.S. 2400 USD per month. T.S. invoices at the end of each month, and each invoice is due 30 days after its date.

## 6. Changes {#c-changes}

Work outside the services above needs a written change that both parties accept, stating its effect on fees and dates.

## 7. Confidentiality {#c-confidentiality}

Each party keeps the other's non-public information confidential and uses it only for this agreement.

## 8. Work product {#c-work-product}

M.R. owns the work made for it under this agreement once it has paid for that work. T.S. keeps its own tools, methods and know-how.

## 9. Liability {#c-liability}

The parties have not set a limit on liability in this draft. Any limit they agree is written here in their own words.

## 10. Service levels and limits {#c-service-levels}

These service levels apply: response time at most 4 hours; fix time at most 2 business days. These limits apply: total spending at most 28800 USD; written approval first for any single amount over 500 USD.

## 11. Term and ending {#c-term}

This agreement runs from 2027-01-01 to 2027-12-31. Either party may end it early with 60 days' written notice. To continue after the end, the parties agree new terms in writing.

## 12. Disputes and governing law {#c-disputes}

If a dispute arises, the parties follow this path: talk first, then mediation. The law of the place where M.R. has its main office governs this agreement, and a dispute that is not settled is heard there.
