# Buyer and seller referral agreement

Sample wording for drafting only, from the contracts.md clause library. Have a qualified person review it before relying on any of it.

## Parties

## 1. Referrals {#c-referrals}

K.A. may introduce these potential clients to B.M.: residential buyers and sellers who are moving to the region B.M. serves. K.A. only makes introductions. B.M. decides whether to take on each client and does the work itself.

## 2. Deliverables {#c-deliverables}

B.M. delivers each item below by its due date.

- 2027-07-15: report on each referral in the first half year, whether the client engaged B.M., and each fee paid

## 3. Referral fee {#c-fee}

B.M. pays K.A. 1500 USD for each referred client who closes a purchase or sale with B.M. during the term. K.A. invoices after each fee is earned, and each invoice is due 30 days after its date.

## 4. Fee disclosure {#c-disclosure}

Before a referred client engages B.M., B.M. tells the client in writing that K.A. receives a referral fee and how much it is. Neither party hides the fee or describes it as anything else.

## 5. Rules on referral fees {#c-rules}

Referral fees are regulated or banned in some fields and places. Each party checks the rules that apply to it and to each referral before a fee is agreed or paid, and no fee is paid where those rules do not allow it.

## 6. Independent firms {#c-independence}

Each party acts on its own account. Neither party may bind the other or speak for it.

## 7. Records {#c-records}

B.M. keeps a record of each referral, whether the client engaged B.M., and each fee paid, and shares it with K.A. on request.

## 8. Service levels and limits {#c-service-levels}

These service levels apply: referral report time at most 30 days. These limits apply: a fee cap of 12000 USD per year.

## 9. Term and ending {#c-term}

This agreement runs from 2027-01-01 to 2027-12-31. Either party may end it early with 30 days' written notice. To continue after the end, the parties agree new terms in writing.

## 10. Disputes and governing law {#c-disputes}

If a dispute arises, the parties follow this path: talk first, then mediation. The law of the place where B.M. has its office governs this agreement, and a dispute that is not settled is heard there.
